As societal and environmental crises intensify in severity, scope, and urgency, sustainability is becoming increasingly central to national, international, and supranational legal frameworks. Corporate law is no exception to this. Today’s sustainability challenges call for a critical rethinking of corporate law’s theoretical foundation, legislative codification, judicial and doctrinal interpretation, as well as practical application.
In this context, this thesis explores how corporate sustainability affects directors’ duties and liabilities at both the European Union and national levels. It focuses particularly on two Member States, France and the Netherlands, whose legal frameworks offer rich and contrasting insights. This comparative lens enables readers to grasp both harmonized European trends and the nuances between national jurisdictions.
By drawing on doctrine, legislation, case law, and corporate practice, this book offers guidance for academics, legal professionals, and policymakers who navigate the complex and dynamic challenges at the intersections of corporate law, liability law, and sustainability
