Titiaan Keijzer is a PhD-Candidate at the Erasmus School of Law. His thesis considers one of the most fundamental issues of corporate law: the control powers of shareholders. Specifically, he analyzes whether (Dutch) company law should allow listed companies to issue dual class shares. Usually, investors obtain equal voting and profit (dividend) rights for every € or $ committed. However, in some cases, it might make sense to grant some shareholders - founders or other visionary parties - more rights than others. The biggest advantage of dual class mechanisms is that they insulate entrepreneur-shareholders from the demands of ordinary shareholders. At the same time, that is their biggest disadvantage. The goal of Titiaan’s PhD-thesis is to introduce a balanced regulatory framework for dealing with this specific issue, adopting a law & economics and comparative legal perspective. Additionally, his many research interests include anti-takeover mechanisms, cross-border mergers, employee co-determination and director liability.

Titiaan has been a Visiting Scholar at Columbia Law School (New York) and the Max Planck Institute for Comparative and International Private Law (Hamburg). He has published extensively in leading Dutch legal journals (please see below), speaks frequently on both national and international academic and practitioner conferences and is happy to consult on complex practical issues of corporate law.
